A 12 month FTC for an experienced Reward Director (Exec Comp and Share Plans focused) to work for a FTSE 100 organisation in a period it's undertaking a strategic Reward policy review and optimisation programme.

Description

  • Head of Reward and Share Plans 12 Month FTC responsibilities:
  • Overall responsibility for all the Group's share plans including the management and coordination of both high profile and routine activities such as working with third parties on drafting and reviewing of share plan rules, managing approval of plan rules through resolutions at the AGM, global share scheme grants, vesting, exercising and lapsing of share based incentives, capital transactions (e.g. a Rights Issue).
  • Working with Group Finance to reconcile the outstanding award registers and support regarding the share-based payment accounting charges.
  • Working with Group Finance regarding the funding of the Group's share plans through new issue or market purchase and provide reports for the Remuneration Committee on dilution and headroom as required.
  • Manage and develop relationships with specialist external providers including share plan administrators, EBT trustees, share plan advisors, remuneration advisors and auditors.
  • Advise the HR community on the operation and associated activities of the Group share schemes, including providing support to communicate the schemes and awards.
  • Maintain and update participant information resources in relation to share based incentives and the annual bonus scheme.
  • Work alongside Group functions including Finance, Tax, Treasury and Global Mobility to monitor compliance with processes, reporting requirements, relevant legislative and regulatory requirements in connection with the share plans.
  • Support the Group Director, Reward & Recognition with all aspects of global executive remuneration including constructing compensation packages to support senior executive hiring including buy-outs (e.g. valuation of equity arrangements).
  • Prepare draft papers and recommendations for the HR Leadership Team, Executive Committee and plc Remuneration Committees.
  • Maintain induction materials for new members of the plc Remuneration Committee.
  • Work with the Group Director, Reward & Recognition on the review of external advisers to the plc Remuneration Committee as required.
  • Support the Group Director, Reward & Recognition on the annual remuneration review for the Board and Executive Committee.
  • Working with the Group Director, Reward & Recognition, support the plc Remuneration Committee with triennial reviews of Remuneration Policy and shareholder consultation.
  • Support in the preparatory work ahead of the Annual General Meeting (lines to take on remuneration, Q&A's) and attend the AGM to support Board members.
  • Provide all necessary data to support Stock Exchange Announcements relating to Board level remuneration and PDMR share transactions.
  • Support reviews of Directors and senior leader's contracts (working with Group Director, Reward & Recognition and General Counsel).
  • Support the Group Director, Reward & Recognition with statutory reporting by drafting the Directors' Remuneration Report within the Annual Report & Accounts, including compiling all information (for example producing emoluments statements and obtaining approvals), and working with the external auditors.
  • Conduct the compliance review of the DRR to confirm to the General Counsel and the Remuneration Committee Chair compliance with (i) Companies Act 2006; (ii) Large & Medium Sized Companies & Groups Regulations 2008 and (iii) the UK Listing Rules.
  • Support the Group Director, Reward & Recognition with any reward, remuneration or benefits enquiry required including supporting on confidential remuneration advice for our Executive Committee and senior leaders.
  • Support the Group Director, Reward & Recognition with pension's policy matters for the Company's various pension arrangements (and attend the Pensions Policy Committee as required).
  • Undertake bench-marking as required (internal and external) and provide guidance to both HR and business managers.
  • Lead the annual pay review, STI and LTI processes for the global executives and senior leaders.
  • Support the running of the Global Reward Forum, organising meetings and driving actions.
  • Manage data collation for senior executive salary survey submissions.
  • Be a point of contact for internal stakeholders with regards to remuneration policy implementation.
  • Support the Divisional Reward Leads as required with implementation of global reward processes and reward activities within their division.
  • Work with the Group Director, Reward & Recognition on global projects (for example review of senior leader population, global job evaluation methodologies and pay range maintenance).
  • Lead communications of share schemes, remuneration, benefits and other reward initiatives to drive employee engagement.

Profile

Head of Reward and Share Plans 12 Month FTC candidate profile:

  • Preferably experienced in working in a large, complex multi-national organisation or a major remuneration consulting firm.
  • Experience in reward management from executive to operational levels using leading methodologies and processes. Knowledge of best practice reward practices and policies.
  • Relevant share schemes experience in a UK listed PLC with global schemes, and good knowledge of statute, corporate governance and emerging trends in respect of share schemes.
  • Experienced practitioner in a Reward consulting practice (working across share plans and executive compensation) or
  • Recognised HR qualification (CIPD or equivalent) and Fully qualified Chartered Secretary and/or hold the ICSA Certificate in Employee Share Plans (or similar)
