The Wellcome Trust is a global charitable foundation. We improve health for everyone by funding science, leading policy and advocacy campaigns, and building partnerships.

We plan to spend £16bn over the next ten years, funding new discoveries in life, health, and wellbeing, and taking on three global health challenges: mental health, infectious disease and climate and health.

These challenges need the bold science we support, but they won't be solved by science alone.

We are looking for a Governance Manager to join our team on a fixed term contract till October 2025).

Where in Wellcome will I be working?

You will be working in the Ethics Governance and Compliance team within the Legal team reporting to the Governance Lead.

The Governance Team helps the Chief Legal Officer and Company Secretary, Chair and the Board, with promoting good governance across the Wellcome Group and ensures that the Board has the policies, processes, information, time and resources it needs to function effectively and efficiently.

What will I be doing?

You will help effective governance and decision making at Wellcome, in particular at board committee level. The role includes providing governance work/ to Wellcome's Audit and Risk Committee, Nominations and Governance Committee, and the People and Remuneration Committee, which meet approx. 3-5 times per year and the Non-Executive Remuneration Committee which meets less often.

As a Governance Manager , you will:

  • Help manage Wellcome's governance processes effectively to ensure the smooth functioning of governance bodies (including the Board of Governors and all Board Committees, and timely flows of information, papers and minutes between governance bodies and management:

  • Look after Wellcome's corporate governance and company secretarial tasks as required, including the coordination of agendas, preparation of board/committee packs, attending meetings, drafting of minutes, and helping with the preparation of the necessary sections of the Annual Report and Accounts; and making iterative improvements to Wellcome's governance processes (as appropriate).

  • Work closely with a broad range of other internal and external contacts across the business, including (but not limited to) tax, legal, finance, internal audit, communications institutional funding, and risk. And contribute to organisational improvements in relation to specific governance/policy topics including, for example conflicts of interest, the appropriate handling of external complaints, and Wellcome participation on external boards.

  • Contribute to a diverse and inclusive culture across the organisation, collaborating across departments.

Is this job for me?

You will be providing governance and board committee support to our board committee non-executives and senior management across the organisation. There will be governance projects to get involved in, including drafting the board committee reports for our annual report. And providing oversight and work with our governance officer who will help you with tracking committee actions and preparing meeting packs, and our governance team EA on meeting scheduling and logistics.

You will be a part of a high functioning small governance team that enjoy what they do and play a valued role in the organisation. As a team, we embrace change, use technology to improve our work (we're currently testing AI for minuting meetings), help and guide the organisation on best practice governance (we draw on the UK Corporate Governance Code as well as the Charity Governance Code for Larger Charities), and work collaboratively in a non-hierarchical way to challenge each other to continuously improve what we do.

We are looking for someone who has:

  • Good level of governance and company secretarial knowledge as well as experience supporting multiple board committees in parallel.

  • Strong minuting and meeting support experience, particularly with non-executives.

  • Experience as part of an effective governance function, ideally with some experience within a complex, charity environment and has a professional and diligent approach for the successful preparation, servicing and follow up of the many meetings Wellcome's board committees meetings.

  • Excellent organisational and administrative skills, including meticulous attention to detail as well as able to engage effectively with executives and employees at all levels, with highly-developed interpersonal skills.

  • Experience with Diligent Boards portal software.
