This role offers an exciting opportunity to support the UK entity Boards in ensuring best practice Corporate Governance standards are applied, and all relevant Board procedures are conducted accurately, effectively, efficiently, and in compliance with all relevant laws and regulations. The successful candidate will be responsible for providing effective advice on all corporate governance matters, coordinating the Corporate Governance calendar, and ensuring effective record keeping. This role is perfect for someone who thrives in a collaborative environment and has a strong commitment to achieving excellence.Opportunity to work in a dynamic and fast-paced environmentKey role in supporting the UK entity BoardsChance to make a significant impact on corporate governance practicesWhat you'll do:As the UK Corporate Governance Manager and Company Secretary, you will play a pivotal role in supporting the UK entity Boards. Your primary responsibility will be to ensure that best practice Corporate Governance standards are applied consistently across all operations. You will work closely with the Chair to ensure that the Board functions efficiently and effectively. Your duties will also include organising Board meetings, providing advice on corporate governance matters, coordinating the Corporate Governance calendar, identifying changes to Corporate Governance requirements, facilitating arrangements for Board meetings, monitoring legislative changes, and taking appropriate action when necessary.Support the Chair in ensuring the Board functions efficiently and effectivelyEnsure effective organisation and minuting of Board meetingsProvide effective advice to the Board on all corporate governance mattersCoordinate and oversee Corporate Governance calendar for UK entitiesIdentify changes to Corporate Governance requirements and provide recommendations for implementationEnsure that Aspen's Governance Standards are adhered to in relation to all Boards and Board CommitteesFacilitate all arrangements for Board meetings, including scheduling, agenda setting, preparation of Board Packs, circulation of draft minutes, and follow-up of matters arisingMonitor changes in relevant legislation and regulatory environment and take appropriate actionWhat you bring:The ideal candidate for this UK Corporate Governance Manager and Company Secretary position will bring extensive knowledge of corporate governance requirements and board procedures affecting large private companies. You should have excellent time management skills with the ability to prioritise tasks effectively. Exceptional written and verbal communication skills are essential for this role, as is the ability to manage relationships across a wide range of seniority levels. A qualification in ACIS or FCIS with a minimum of 6 years' post-qualification experience is required. Experience in the London insurance market or (re)insurance sector and familiarity with using Diligent or similar tools would be advantageous.Extensive knowledge of corporate governance requirement, board procedures etc. requirements affecting large private companiesExcellent time management and prioritisation skillsExceptional written and verbal communication skillsStrong relationship management skills across a wide range of seniority levelsQualified ACIS or FCIS with minimum 6 years' PQEExperience of working in/for the London insurance market or (re)insurance sectorExperience of using Diligent (or similar) toolWhat sets this company apart:Our client is a leading player in the industry, known for their commitment to excellence and best practice.
